Boston, MA — October 12, 2004 — Covington Associates announced today it has acted as financial advisor to the Special Committee of the Board of Directors of IT professional services firm enherent Corp. (OTCBB: ENHT) in connection with its proposed merger with New York, NY-based Dynax Solutions, Inc., a leading provider of IT staffing and solutions related to integration and application services. Post-merger, former shareholders of Dynax Solutions would own approximately 50% of the combined company on a fully diluted basis. The proposed merger is subject to stockholder approval of enherent and Dynax.

If the merger is consummated, the merged companies, operating under the enherent name, will offer business solutions and IT staffing services. After the merger, enherent will have over 220 IT professionals servicing Fortune 1000 and mid-market clients throughout the Northeast and South. Combined revenues of the companies were approximately $29 million for the twelve-month period ending June 30, 2004. The combination allows both enherent and Dynax Solutions to increase critical mass and visibility, expand their respective geographical reaches and immediately improve profitability through a reduction in redundant operating expenses.

In an earlier statement, Doug Catalano, Chairman, Chief Executive Officer and President of enherent was quoted as saying, "I believe that this combination will create a powerful regional firm with critical mass that will have the ability to leverage a comprehensive portfolio of services and solutions. Our cultures, values and operating styles are strikingly similar which will facilitate merging our operations."

Following consummation of the merger, Pamela Fredette, Chief Executive Officer and President of Dynax Solutions, will serve as Chairman, Chief Executive Officer and President of enherent. Doug Catalano will continue to serve as a member of the Board. Executives of both firms will serve on the management team of the combined firm.
